Please read these Terms of Service carefully before using Semantica. By accessing or using our website, CLI tool, or any related services, you agree to be bound by these terms. If you do not agree, do not use Semantica.

Note: These Terms of Service are a starting point and should be reviewed by a qualified attorney before publication.


1. Who We Are

Semantica is operated by Semantica Inc., a company incorporated in the United States ("we," "us," or "our"). Our website is located at semantica.sh.


2. What These Terms Cover

These terms apply to:

  • The Semantica website at semantica.sh
  • The Semantica CLI tool and any related software
  • The Semantica hosted dashboard and backend services (semantica.io)
  • Any documentation, APIs, or other services we provide

3. Eligibility

You must be at least 13 years old to use Semantica. If you are under 18, you represent that you have your parent or guardian's permission to use our services. By using Semantica, you represent that you meet these requirements.


4. Your Account

To access certain features, including the hosted dashboard and GitHub/GitLab integrations, you will need to authenticate via OAuth (GitHub or GitLab). You are responsible for:

  • Maintaining the security of your credentials and tokens
  • All activity that occurs under your account
  • Notifying us immediately at security@semantica.sh if you become aware of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these terms.


5. Acceptable Use

You agree not to use Semantica to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Distribute malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' data
  • Scrape, crawl, or otherwise extract data from our services in ways we have not authorized
  • Resell or commercially redistribute our services without our written permission
  • Interfere with or disrupt the integrity or performance of our services

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions.


6. The CLI Tool and Local Data

The Semantica CLI is open source software released under the MIT License. When you use the CLI locally, all data is stored on your own machine in the .semantica/ directory within your repositories. We do not have access to this local data unless you explicitly connect a repository to the Semantica backend using semantica connect.

By connecting a repository, you authorize Semantica to receive attribution summaries and commit metadata from that repository as described in our Privacy Policy.


7. Intellectual Property

Our content. The Semantica name, logo, website content, and documentation are owned by Semantica Inc. and protected by intellectual property laws. You may not use our name, logo, or branding without our prior written consent.

The CLI. The Semantica CLI is open source under the MIT License. The terms of that license govern your use of the CLI software.

Your data. You retain ownership of all code, data, and content in your repositories. We do not claim any ownership over your code or the data you process using Semantica.


8. Paid Services

We do not currently offer paid plans. When we do, additional terms will apply to those plans and will be presented to you at the time of purchase. We will update these terms accordingly. Pricing, billing cycles, refund policies, and cancellation terms will be clearly disclosed before any payment is required.


9. Third-Party Services

Semantica integrates with third-party services including GitHub, GitLab, and AI providers such as Claude, Cursor, and Gemini. Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the practices of any third-party services.


10. Disclaimers

Semantica is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the service will be accurate or reliable
  • Any errors in the service will be corrected

11. Limitation of Liability

To the fullest extent permitted by applicable law, Semantica Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of Semantica, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these terms shall not exceed the greater of $100 or the amount you paid us in the twelve months preceding the claim.


12. Indemnification

You agree to indemnify and hold harmless Semantica Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of Semantica, your violation of these terms, or your violation of any rights of a third party.


13. Termination

We may suspend or terminate your access to Semantica at any time, with or without notice, for any reason including violation of these terms. You may stop using Semantica at any time. Sections 7, 10, 11, 12, and 15 of these terms survive any termination.


14. Changes to These Terms

We may update these terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you, such as by posting a notice on our website or sending an email if we have one on file. Your continued use of Semantica after changes take effect constitutes your acceptance of the updated terms.


15. Governing Law and Disputes

These terms are governed by the laws of the United States and the state in which Semantica Inc. is incorporated, without regard to conflict of law principles. Any disputes arising under these terms will be resolved in the courts of that jurisdiction, and you consent to personal jurisdiction there.
